Corporate Governance

At Buildigo, governance is not a formality. It is the foundation on which we build trust, make decisions, and take responsibility for outcomes, with our clients, our suppliers, our team, and the broader ecosystem we operate in.

We work in an industry where accountability is often diffused and decisions are frequently made under pressure. Our governance framework exists to ensure that regardless of the pace or complexity of what we are working on, we operate with clarity, integrity, and consistency.

This page outlines how we are structured, how decisions are made, and the standards we hold ourselves to across every function of the business.

Governance Structure

Buildigo is led by its founding team, who carry overall responsibility for the direction, values, and performance of the organisation. Day to day governance is distributed across department heads who own defined areas of the business and are accountable for how those areas operate.

This structure is intentional. We believe governance works best when responsibility is specific and ownership is clear, rather than shared vaguely across a group. Every function within Buildigo has a named owner who is accountable for decisions made within that function.

As the organisation grows, we continue to strengthen this structure by documenting processes, defining escalation pathways, and building the systems needed to support consistent decision making at scale.

Decision Making

Decisions at Buildigo are made at the level closest to the relevant function, within a framework of defined boundaries and escalation thresholds.

Routine operational decisions are made by department heads within their areas of ownership. Decisions that affect multiple functions, involve significant financial commitment, carry legal or reputational implications, or set precedent for how we operate are escalated to the founding team.

We do not make significant decisions informally or without documentation. Where a decision has material consequences, it is discussed, recorded, and reviewed against our values and commercial principles before being acted upon.

Financial Controls and Accountability

Financial discipline is a core part of how we operate. We maintain clear records of all income, expenditure, and commercial commitments. Our accounts are maintained in accordance with applicable Indian accounting standards and statutory requirements.

All client commercials, including take rates, retainer fees, and project based charges, are agreed in writing before work begins. No financial commitment is made on behalf of a client without prior authorisation. No payment is received or processed outside of documented and agreed terms.

We conduct regular internal reviews of our financial position and maintain oversight of cash flow, outstanding receivables, and operational expenditure. As we grow, we will continue to strengthen our financial controls through formal audit processes and independent review where appropriate.

We are committed to full compliance with our tax obligations, including GST, TDS, and corporate tax requirements under Indian law.

Vendor and Supplier Governance

Our relationships with suppliers and brands are central to the value we deliver to clients. We hold those relationships to a clear standard.

Suppliers and brands who work with us are evaluated on the basis of pricing competitiveness, product quality and consistency, reliability of supply, adherence to agreed timelines, and professional conduct in their dealings with us and our clients.

We do not favour suppliers based on personal relationships, undisclosed arrangements, or incentives that are not in the buyer's interest. All supplier recommendations are made on merit and documented with supporting market data.

We maintain a structured onboarding process for new suppliers and conduct periodic reviews of existing supplier relationships to ensure continued alignment with our standards. Suppliers who consistently fall short of the expectations we set are removed from our active network.

We do not accept gifts, commissions, or benefits from suppliers that could influence our recommendations or create a conflict of interest with our clients.

Ethics and Conflict of Interest

We operate on the principle that our recommendations and decisions must always be free from undisclosed conflicts of interest.

Any situation where a member of our team has a personal, financial, or professional interest that could influence a business decision must be disclosed immediately to the founding team. Where a conflict is identified, the individual concerned is removed from the relevant decision or process.

We do not engage in or condone practices that involve bribery, kickbacks, price manipulation, or any form of commercial dishonesty. This applies to our internal conduct as well as to the conduct of any supplier, partner, or third party acting on our behalf.

We expect our team, at every level, to raise concerns about ethical conduct without fear of consequence. Concerns can be raised directly with the founding team or through any internal channel that the individual is comfortable using. All concerns are treated seriously, reviewed promptly, and handled with discretion.

Legal and Regulatory Compliance

Buildigo operates in full compliance with applicable Indian laws and regulations. This includes corporate law under the Companies Act, 2013, taxation law including the Income Tax Act and GST legislation, data protection obligations under the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, labour law and employment regulations applicable to our team size and structure, and contract law governing our engagements with clients and suppliers.

We maintain documented records of our legal obligations and review them regularly to ensure continued compliance as regulations evolve. Where legal guidance is required, we engage qualified legal counsel rather than making assumptions.

We do not enter into agreements or arrangements that we know to be legally questionable, even where such arrangements might offer a short term commercial advantage.

Data and Information Security

We handle commercially sensitive information on behalf of our clients every day. Pricing data, project details, supplier terms, and business strategies are shared with us in confidence and must be protected accordingly.

Access to sensitive information within Buildigo is restricted to individuals who require it to perform their responsibilities. We use secure systems, controlled access environments, and regular monitoring to maintain data integrity and prevent unauthorised access.

HR and People Practices

Our team is central to everything we deliver. We are committed to maintaining a workplace that is fair, respectful, and conducive to good work.

We follow applicable Indian labour law in all aspects of employment, including hiring, compensation, leave, working conditions, and separation. We do not discriminate on the basis of gender, religion, caste, ethnicity, disability, or any other characteristic that is unrelated to a person's ability to contribute.

We invest in the development of our team through structured learning and improvement processes. We believe that a team that is growing individually will produce better outcomes collectively.

Performance is reviewed regularly and openly. Expectations are communicated clearly, and feedback is given in a manner that is constructive and specific. We do not manage through ambiguity or create unnecessary pressure through unclear standards.

We take complaints and grievances from team members seriously. Any concern raised internally is reviewed promptly, handled with discretion, and resolved in a manner that is fair to all parties involved.

Client and Commercial Governance

Every client engagement at Buildigo is governed by a signed agreement that defines the scope of work, commercial terms, deliverables, and responsibilities of both parties.

We do not begin work without a documented agreement in place. We do not revise commercial terms mid engagement without prior discussion and written consent. We do not make commitments to clients that we are not confident we can fulfil.

Our commercial governance is built on a simple principle: what is agreed is what is delivered. If circumstances change and a commitment cannot be met, we communicate that proactively and work with the client to find a resolution.

Continuous Improvement

We recognise that our governance framework is not yet at the level of maturity it will need to be as we scale. We are building deliberately and with that trajectory in mind.

We review our internal processes, controls, and documentation regularly. We identify gaps, prioritise improvements, and implement changes in a structured way. We do not wait for problems to emerge before addressing weaknesses in how we operate.

As we grow in team size, geographic presence, and procurement volume, we will continue to strengthen our governance through more formal audit mechanisms, expanded documentation, and where appropriate, independent oversight.

Governance, for us, is not a destination. It is something we work at consistently, because the trust our clients place in us depends on it.
