Terms of Service

Buildigo Technologies Private Limited is a buyer side material procurement partner for the construction industry. We help construction companies, developers, contractors, and project owners secure better material prices, structured payment terms, and more predictable procurement outcomes.

We are registered under the laws of India and operate primarily from Indore, Madhya Pradesh, with a presence in Mumbai, Maharashtra.

Buildigo provides services across the following engagement types:

Project Based Procurement Support We support buyers through the complete procurement cycle for specific construction projects. This includes defining material requirements, identifying suitable suppliers and brands, obtaining and comparing market quotations, negotiating pricing and commercial terms, coordinating procurement across categories and project sites, and providing continued support through delivery and billing.

Ongoing Retainer Engagements We work with clients on an ongoing basis across multiple projects or procurement cycles under a retainer arrangement. The scope, fees, and terms of retainer engagements are defined in a separate agreement signed between Buildigo and the client prior to commencement.

One Time Sourcing or Comparison Requests We assist clients with specific, time bound sourcing or price comparison requirements outside of a full project engagement. The scope and commercial terms for such requests are agreed upon prior to commencement.

Platform and Dashboard Access Where Buildigo provides access to any internal platform, dashboard, or reporting tool, such access is governed by these Terms in addition to any specific terms communicated at the time of access. Unauthorised sharing, reproduction, or misuse of platform access is strictly prohibited.

Most clients who engage Buildigo for project based or retainer services will have a separate signed agreement that governs the specific commercial terms, deliverables, fees, and timelines of their engagement.

Where a separate agreement exists, it takes precedence over these Terms in the event of any conflict. These Terms apply to all aspects of your engagement with Buildigo that are not explicitly covered by your signed agreement, including your use of our website, general conduct, and any interactions outside the scope of a formal contract.

If you are using our website or making an initial enquiry without a signed agreement in place, these Terms govern that interaction in full.

By engaging with Buildigo, you agree to the following responsibilities:

You will provide accurate, complete, and up to date information when engaging our services or interacting with our team. You understand that the quality of our output depends significantly on the accuracy of the information you provide.

You will use our services only for lawful purposes and in a manner consistent with applicable Indian laws and regulations.

You will not attempt to misuse, circumvent, or exploit any aspect of our services, systems, or platform, including but not limited to gaining unauthorised access, interfering with our operations, or using our services to facilitate activity that is unlawful or harmful.

You will not share, reproduce, or distribute any proprietary information, pricing data, supplier comparisons, or platform access provided by Buildigo without our prior written consent.

You will engage with our team and with third parties introduced through our services in a professional and respectful manner.

You will promptly inform us of any changes to your project requirements, timelines, or commercial conditions that may affect the scope or delivery of our services.

Buildigo acts as a buyer side procurement partner. We provide market intelligence, supplier coordination, commercial negotiation support, and procurement management. We do not manufacture, stock, or supply materials directly.

All final purchasing decisions rest with the buyer. Our role is to inform, support, and strengthen those decisions, not to make them on your behalf.

While we work to secure the most favourable pricing and terms available in the market, we cannot guarantee specific price outcomes as these are subject to market conditions, supplier availability, and project specific variables.

Our recommendations are made in the interest of the buyer and are not influenced by supplier relationships, inventory positions, or margin considerations on our part.

In the course of delivering our services, we coordinate with external suppliers, brands, logistics partners, and service providers. While we take care in identifying reliable and suitable partners for each project, we are not responsible for the actions, omissions, delays, quality failures, or contractual breaches of any third party.

Any contract for the supply of materials is entered into directly between the buyer and the supplier. Buildigo is not a party to that contract unless explicitly stated otherwise in a separate agreement.

Where issues arise with a supplier or delivery, we will assist in coordination and resolution to the best of our ability, but our liability in such situations is limited as described in the section below.

Both parties acknowledge that in the course of an engagement, confidential information may be shared. This includes but is not limited to pricing data, project details, commercial terms, supplier information, business strategies, and internal processes.

Each party agrees to keep such information confidential, use it only for the purposes for which it was shared, and not disclose it to any third party without the prior written consent of the other party, except where required by law.

This obligation of confidentiality survives the termination of any engagement or agreement between the parties.

Our commercial model is based on a category based take rate, a monthly retainer, or a minimum fixed fee as a percentage of spend under a project, whichever is higher, depending on the nature of the engagement.

All fees are agreed and documented prior to commencement of any work. We do not charge hidden fees, apply undisclosed markups, or revise commercials without prior discussion and written agreement.

Payment terms are outlined in your engagement agreement. Where payment is not received within the agreed timeline, Buildigo reserves the right to pause or discontinue services until the outstanding amount is settled.

All fees are exclusive of applicable taxes including GST, which will be charged in addition at the prevailing rate.

To the maximum extent permitted by applicable law, Buildigo's liability to you in connection with any engagement or interaction shall be limited to the fees actually paid by you to Buildigo for the specific service in relation to which the liability arises.

Buildigo shall not be liable for any indirect, incidental, consequential, or special losses or damages, including but not limited to loss of profit, loss of revenue, loss of data, loss of goodwill, or project delays, even if we have been advised of the possibility of such losses.

We are not liable for losses or outcomes arising from factors outside our reasonable control. This includes market price fluctuations, supplier failures, material shortages, logistics disruptions, force majeure events, changes in applicable law or regulation, or decisions made by the buyer that are contrary to our recommendations.

Nothing in these Terms limits our liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable law.

You agree to indemnify and hold harmless Buildigo, its directors, employees, and representatives from and against any claims, losses, damages, costs, or expenses, including reasonable legal fees, arising from your breach of these Terms, your misuse of our services or platform, any inaccurate or misleading information you have provided to us, or your violation of any applicable law or third party rights.

Either party may terminate an engagement by providing written notice as specified in the relevant signed agreement. Where no separate agreement exists, either party may terminate by providing 15 days written notice to the other.

Buildigo reserves the right to suspend or terminate access to our services immediately and without notice in cases of material breach of these Terms, non payment of fees, or conduct that is unlawful, harmful, or damaging to our reputation or operations.

Upon termination, all outstanding fees for work completed up to the date of termination remain payable. Confidentiality obligations and intellectual property provisions survive termination.

These Terms are governed by and construed in accordance with the laws of India.

In the event of any dispute arising from or in connection with these Terms or any engagement with Buildigo, the parties will first attempt to resolve the matter through good faith discussion. If the dispute cannot be resolved informally within 30 days of written notice, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.

The seat of arbitration shall be Indore, Madhya Pradesh, or Mumbai, Maharashtra, as mutually agreed between the parties at the time of the dispute. The language of arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties.

For matters not referred to arbitration, the courts of Indore, Madhya Pradesh, and Mumbai, Maharashtra, shall have concurrent jurisdiction.

Buildigo shall not be held liable for any failure or delay in performing its obligations under these Terms or any engagement agreement where such failure or delay results from circumstances beyond our reasonable control. This includes but is not limited to natural disasters, pandemics, government actions, civil unrest, power outages, internet disruptions, or any other event that could not have been reasonably anticipated or prevented.

In such circumstances, we will notify you as soon as reasonably practicable and make reasonable efforts to resume normal operations.

We may update these Terms from time to time to reflect changes in our services, applicable law, or internal practices. When we make significant changes, we will update this page and where appropriate notify active clients directly.

Your continued use of our services after any update constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions shall continue in full force and effect.

These Terms, together with any signed engagement agreement and any other policies referenced herein, constitute the entire agreement between you and Buildigo with respect to your use of our services. They supersede all prior discussions, representations, or agreements, whether written or oral, relating to the same subject matter.
